BFS NEWS • Issue 20

In this back-to-work edition, we help you tell apart what is merely an announcement from what calls for a decision: understanding the rules as they change, and anticipating before they apply to you.

The main feature of this issue focuses on tax surcharges. Since July 2025, the surcharge is waived for a first offence committed in good faith. In its judgment of 18 June 2026, the Constitutional Court extended this more favourable regime to all pending cases, regardless of when they were entered in the tax roll. The question remains who has to prove that good faith. It is presumed where a return is inaccurate, but must be demonstrated in an ex officio assessment, where far more than 10% can be at stake, including the loss of your carried-forward tax losses.

We also review the PLCI reform adopted on 16 July: ceilings rise to 8.50% (ordinary PLCI) and 9.78% (social PLCI), and the scheme opens up to those self-employed as a secondary occupation from €1,922.16 of income. For company directors, however, the 80% rule means the balance with the EIP and group insurance must be recalculated before the end of 2026.

Thinking of buying property abroad? Purpose, country, financing, estate-planning horizon: we go through the questions to ask before choosing between buying in your own name, through your Belgian company or through a foreign structure. The aim is to avoid double taxation for your heirs or an unexpected benefit in kind.

On the restructuring front, the Advance Rulings Service clarified in May 2026 the reorientation undertaking required after a demerger or contribution followed by the sale of all the shares: when it applies, how much to reinvest, how and within what time limits.

This issue also brings a flavourful encounter with Elie Salomon, founder of Whoops Agency. He was about to open a restaurant; Covid led him to put his eye for imagery at the service of Brussels restaurant owners. And, as always, your tax and administrative calendar.

BFS News • Edition 19

In this new edition, we help you anticipate the decisions that have a lasting impact on your assets, both private and professional: structuring, documenting and securing before you act.

The central feature of this issue is devoted to matrimonial property regimes and company shares: saying "I do" carries direct, and sometimes little-known, consequences for the ownership of your shares. Marriage contract or statutory regime, separate or joint property: the choice made before the wedding determines who really owns the shares of your company, and who will reap their value in the event of divorce or transfer.

We also analyse a ruling of the Antwerp Court of Appeal of 3 February 2026 concerning a partial demerger followed by a "share deal": a decision confirming that the anti-abuse provisions do not apply where the transaction reflects an economic reality. The lesson to be drawn: properly documenting the economic rationale of a restructuring is the surest way to secure its tax treatment.

This issue is also the occasion for an inspiring encounter: Alyssa Aissa, Tax & Legal Manager at BFS, has just opened a Louise Verlaine franchise in Zaventem with her family. When advising entrepreneurs and becoming one yourself feed into each other.

Finally, we detail the 2026 personal income tax measures adopted on 9 July: minimum director's remuneration raised to €50,000, benefits in kind capped at 20% of the salary package, and the return of computer programs to the copyright tax regime. Not forgetting your tax and administrative calendar.

BFS News • Edition 18

In this new edition, we shine a light on concrete threats and opportunities to seize — to help you protect your business, optimise your tax strategy and explore new investment horizons.

The central feature of this issue is devoted to invoice fraud: a rapidly growing phenomenon, powered by artificial intelligence, that is striking Belgian companies of all sizes. €32 million in estimated damage in 2025, scams that are virtually undetectable to the naked eye, sometimes devastating tax consequences — we break down the mechanisms, the risks and the best practices to keep you protected.

We also analyse a landmark Court of Cassation ruling of 22 January 2026 on the spread taxation of capital gains: a decision that serves as yet another reminder of the cascade effects of non-compliance with the remuneration theory — resulting here in a capital gain of €213,705.76 becoming immediately taxable.

This issue also gives us the opportunity to introduce our new US Real Estate Division: a dedicated team to support you from A to Z in your real estate investment projects in Florida, with partner agents on the ground in Miami and legal and tax experts in Belgium.

Finally, we take stock of the NACE-BEL code reform that came into force on 1 January 2025 and the compliance deadline set for November 2026 — as well as a ground-breaking Court of Cassation ruling that upends succession logic in matters of tax increases.

BFS News • Edition 17

In this new edition, we focus on major tax reforms and the concrete steps to take to protect your assets in a rapidly changing environment.

At the heart of this issue: a comprehensive feature on the taxation of financial capital gains, passed in early April 2026 with retroactive effect from 1 January. We break down the reform, identify the assets concerned and explain how to make use of the step-up mechanism to protect your historical gains.

We also shine a spotlight on two firms joining the BFS family: Key Advice (Hoeilaart), after 22 years of independent expertise, and M.A.T.S. (Waterloo), founded in 1990 by Joëlle, Yves and Laurent. Two new forces at the service of your projects.

Finally, our article on the VAT chain takes stock of the changes coming into effect on 1 May 2026 — new account number, provision account, end of the holiday tolerance — and our tax agenda helps you anticipate the next key deadlines.
